Terms of use of the Medfuture platform
1. INTRODUCTION AND SCOPE
These terms of use of the platform (the “ Terms of Use of the Platform ”) constitute a legal agreement between you (“ you ” or the “ User ”) and CLINIQUE MEDFUTURE INC. (“ Medfuture ”, “ we ” or “ us ”) which governs your use of our online service platform (the “ Platform ” as well as our mobile application from which you can access our Platform (the “ Application ”), collectively with the Platform, the “ Service ”).

Subject to these Terms of Use of the Platform, Medfuture hereby grants to Users, for as long as their account on the Platform or the Application, as the case may be, is in force, access rights to browse and use the Platform and a license to install, browse and use the Application, all for their personal use only.
4. USER ACCOUNT AND PASSWORD
In order to use the features of the Platform, you must create a user account.
You represent and warrant that the information you provide is accurate and complete and that you will promptly update your account if any such information changes. It is your responsibility to protect the confidentiality of your user account and password.
To create a user account, you must provide certain information such as:

- Surname;
- Email address;
- Phone number;
- Date of birth.

5. LONGEVITY AND HEALTH AND WELLNESS SERVICES OF THE PLATFORM
Under no circumstances should you use the Service during a medical emergency. In case of emergency, immediately call 911 or go to the nearest hospital or health center.
The services offered by Medfuture as part of its longevity clinic aim to guide you in your management of your health with the aim of living a long life and to recommend products and services to help you achieve your goal. You acknowledge, however, that you are at all times free to accept or refuse Medfuture's recommendations and remain solely responsible for your health choices.

In addition to the Professional services available on the Service, Medfuture provides access to various information systems relating to your health and well-being, in particular, but not limited to:
a) the evolution of your biological age;
(b) partial or complete personalized action plans;
c) historical biomarkers and other health data ;
d) analyzes using Medfuture partner or exclusive algorithms;
e) self-assessment questionnaires.

All Information Devices made available to you on the Service do not at any time constitute medical advice, diagnosis or treatment. Certain Information Devices are the result of expert systems and/or algorithms based on scientific data, data collected via connected objects, applications such as Apple Health© and information that you have transmitted to us. The Information Devices only present health and wellness information and do not replace the advice of a healthcare professional. You must never start or stop any processing based on the Information Devices. Information Devices may present reports and statistics that may cause you anxiety . It is strongly recommended not to take any action based on your interpretation of the Information Devices without first obtaining advice from a healthcare professional.
The content of the Service is provided for general information purposes only. Claims made in descriptions of services or products that Medfuture may recommend to you are not intended to diagnose, treat, cure or prevent disease. This information is provided for informational purposes only and is not intended to replace the advice of a physician or other healthcare professional or the information contained on or in product labels or packaging. You should not use this information to diagnose or treat a health problem or to prescribe any medication or other treatment. Medfuture undertakes to perform its services in compliance with applicable Quebec and Canadian laws and according to the rules of the art. Medfuture undertakes to only recommend products authorized by Health Canada or any other regulatory body having jurisdiction in Canada, or having a very high level of scientific evidence.
Although we make reasonable efforts to update the information on our Service, we make no representations, warranties or guarantees, express or implied, that the content on our Service is accurate, complete or up-to-date. The Service may include content provided by third parties, including other Users and third-party licensors. All statements and/or opinions expressed in such third party content, other than content provided by Medfuture, are solely the opinions and responsibility of the person or entity providing such content. This content does not necessarily reflect the opinion of Medfuture. Neither Medfuture nor its parent, subsidiaries, affiliates, and their directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers or successors have any liability or obligation whatsoever. to you, or any third party, for the content or accuracy of any third party content.
6. INTELLECTUAL PROPERTY
You understand and agree that the Service and all content, features and functionality thereof, including, without limitation, all information, software, code, text, displays, graphics, photographs, video, audio, design , presentation, selection and arrangement, are the property of Medfuture, its licensors or other suppliers of such materials and are protected in all forms by intellectual property laws, including but not limited to , copyrights, trademarks, patents, trade secrets.
The Medfuture name, the Medfuture logo, and all related names, logos, product and service names, designs, images and slogans are trademarks of Medfuture or its affiliates or licensors. You must not use these marks without the prior written permission of Medfuture. Other names, logos, product and service names, designs, images and slogans mentioned or appearing on the Service are trademarks of their respective owners. Use of this property, unless expressly authorized, constitutes an infringement or violation of the rights of the owner and may be a violation of federal or other laws and could subject the violator to legal action.
You may only use the Service for your personal, non-commercial use in accordance with the access rights and license granted in Section 3. You must not, directly or indirectly, reproduce, collate for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, upload, store or transmit any material on our Service, in any form or media, except:

i) engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Medfuture or Users of our Service or expose us or such other Users to a responsibility;
j) use the Service in any manner that could disable, overburden, damage, or impair it or interfere with any other party's use of the Service;
k) use the Service to send harassing or threatening messages to anyone;
l) use any robot, spider or other automatic device, process or means to access the Service for any purpose, including monitoring or copying any content on the Service or other materials on the Service;
m) attempt to penetrate the security measures of the Service or obtain or circumvent the passwords of other Users;
n) attempt to gain unauthorized access to, interfere with, damage or disrupt any part of the Service, the server on which the Service is stored, or any server, computer or database connected to the Service; And
o) attack the Service via a denial of service attack or a distributed denial of service attack.
8. GEOGRAPHICAL SCOPE OF THE SERVICE
While the Service is available in all provinces and territories of Canada, not all products and/or services described on the Service are regulated or available in all such territories and provinces, as some of them may adopt different laws and regulations regarding these products and services. The type of services offered through the Service depends on your province or territory of residence and where you are located when you access the Service. 12. LIMITATION OF LIABILITY

WE DO NOT VERIFY THE DATA OBTAINED AND OR COLLECTED FROM DEVICES AND/OR APPLICATIONS THAT YOU CONNECT TO OUR SERVICE AND WE ARE NOT RESPONSIBLE FOR ANY DAMAGES CAUSED BY THE RESULTS PROVIDED BY THE SERVICE AND DERIVED FROM SUCH DATA .

13. IDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless a Released Party from any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees ( including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use of the Platform or your use of the Service, including, but not limited to, third party sites, any use of content, services and products of the Service other than those expressly authorized in these Terms of Use of the Platform.
14. DURATION
Your right to use the Service begins on the date you accept these Terms of Use of the Platform and continues until your user account is terminated (the “ Term ”).
15. APPLICABLE LAW AND JURISDICTION
The Service and these Conditions of Use of the Platform will be governed and interpreted in accordance with the laws of the province of Quebec and those of Canada applicable there, without regard to the principles of conflict of laws, and notwithstanding your domicile, your residence or your physical location.
Any action or proceeding arising from or relating to the Service and under the Terms of Use of the Platform will be brought before the courts of the province of Quebec, the judicial district of Terrebonne (and/or the Federal Court of Canada in the case of an action relating to an intellectual property right) and each party irrevocably submits to the exclusive jurisdiction of these courts for any action or proceeding of this type. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
16. UPDATE AND MODIFICATION
Applicable version. The Conditions of use of the Platform are in force on the date mentioned at the beginning of these Conditions of use of the Platform and they replace any previous version. The version of the Conditions of Use of the Platform which is applicable to you, as a User, is the latest version that you accepted by clicking on the “accept” button.
17. NOTICES, COMPLAINTS AND COMMUNICATIONS
